1. Agreement to Terms

By engaging with Roger Holcomb Construction LLC for digital marketing services, you agree to be bound by these Terms of Service. These terms govern the relationship between you (the "Client") and Roger Holcomb Construction LLC (the "Agency").

2. Provision of Services

The Agency agrees to provide the Client with digital marketing services as outlined in a specific proposal or Statement of Work (SOW). Services may include, but are not limited to, Search Engine Optimization (SEO), Pay-Per-Click (PPC) advertising, Social Media Marketing (SMM), and Content Marketing. The specific scope, deliverables, and timelines will be detailed in the SOW.

3. Payment Terms

The Client agrees to pay the Agency the fees as specified in the SOW. Payments are typically due on a recurring monthly basis for retainer services or upon milestone completion for project-based work. Late payments may incur interest charges. All fees are non-refundable once services have been rendered.

4. Client Obligations

The Client agrees to provide the Agency with all necessary access to information, data, and digital assets (e.g., website access, ad account access) required to perform the services. The Client is responsible for the accuracy and legality of all materials provided to the Agency.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This includes business strategies, customer data, and performance metrics. This obligation extends beyond the termination of the service agreement.

6. Limitation of Liability

The Agency will make every effort to achieve the desired results, but does not guarantee specific outcomes, such as search engine rankings, lead volume, or revenue increases. The digital marketing landscape is constantly changing, and performance can be affected by factors outside the Agency's control. In no event shall Roger Holcomb Construction LLC be liable for any lost profits or indirect, consequential, or punitive damages.

7. Term and Termination

The service agreement will remain in effect for the term specified in the SOW. Either party may terminate the agreement with written notice (typically 30 days) as per the conditions outlined in the SOW. Upon termination, the Client is responsible for all fees accrued up to the termination date.

8. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Roger Holcomb Construction LLC is registered, without regard to its conflict of law principles.
